Terms of Service

1. Agreement to Terms
By accessing or using the services provided by Verasite Studio ("we," "us," or "our"), including our website at verasitestudio.com and client portal at portal.verasitestudio.com, you agree to be bound by these Terms of Service ("Terms").
If you do not agree to these Terms, please do not use our services.
2. Services
Verasite Studio provides the following services:
- Web Design and Development - Design and development of custom websites and web applications
- Hosting - Web hosting on reliable servers with uptime monitoring
- Maintenance - Ongoing website updates, security patches, and technical support
- Domain Management - Domain registration and DNS management assistance
The specific scope, deliverables, timeline, and pricing for each project are defined in a separate Project Agreement or Service Order signed by both parties.
3. Client Accounts
3.1 Registration
To access the client portal, you must create an account with accurate and complete information. You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activity that occurs under your account
- Notifying us immediately of any unauthorized access
3.2 Account Termination
We reserve the right to suspend or terminate your account if you violate these Terms or engage in fraudulent, abusive, or illegal activity.
4. Payment Terms
4.1 Fees
All fees are outlined in your individual Project Agreement or Service Order. By accepting a quote or signing a project agreement, you agree to pay the specified fees.
4.2 Payment Schedule
- One-time projects: A deposit of 50% is required before work begins. The remaining balance is due upon project completion before final delivery.
- Monthly services: Invoices are generated monthly and due within 14 days of issuance.
- Annual services: Invoices are generated annually and due within 14 days of issuance.
4.3 Late Payments
Invoices not paid within 14 days of the due date may incur a late fee of 1.5% per month on the outstanding balance. We reserve the right to suspend services for accounts with overdue balances.
4.4 Refunds
- Development projects: Deposits are non-refundable once work has commenced.
- Hosting and maintenance: Monthly fees are non-refundable for the current billing period.
- Cancellations: You may cancel monthly services with 30 days written notice.
4.5 Payment Methods
We accept payments via Stripe (credit/debit card) and bank transfer. All payments are processed securely. We do not store your payment card information.
5. Project Terms
5.1 Client Responsibilities
To ensure timely delivery, the client agrees to:
- Provide all required content (text, images, logos) within agreed timelines
- Respond to questions and review requests within 5 business days
- Designate a single point of contact for project communications
- Provide timely feedback during the review and approval process
5.2 Revisions
Each project includes a defined number of revision rounds as specified in the Project Agreement. Additional revisions beyond the agreed scope will be billed at our standard hourly rate.
5.3 Project Timeline
Project timelines are estimates based on timely client cooperation. Delays caused by late content delivery, slow feedback, or scope changes may extend the timeline. We will communicate any delays promptly.
5.4 Scope Changes
Any changes to the agreed project scope must be submitted in writing. Scope changes may affect the project timeline and cost. We will provide a revised quote for approval before proceeding.
6. Intellectual Property
6.1 Client Ownership
Upon receipt of full payment, the client receives full ownership of the final delivered website and all custom code written specifically for their project.
6.2 Third-Party Assets
Websites may include third-party components such as:
- Open-source frameworks and libraries (subject to their respective licenses)
- Licensed fonts, icons, or stock images (subject to their respective licenses)
- Plugins or integrations (subject to their respective terms)
The client is responsible for maintaining any required licenses for third-party assets after project handover.
6.3 Portfolio Rights
Verasite Studio retains the right to display completed work in our portfolio and marketing materials unless the client requests confidentiality in writing prior to project commencement.
6.4 Pre-existing Materials
Each party retains ownership of any intellectual property they owned prior to the project. The client grants us a license to use their provided materials (logos, content, images) solely for the purpose of completing the project.
7. Hosting Services
7.1 Uptime
We target a 99.9% uptime for hosted websites. Scheduled maintenance windows will be communicated in advance. Uptime guarantees are subject to the terms of our hosting infrastructure providers.
7.2 Data Backups
We perform daily automated backups of hosted websites. Backups are retained for 30 days. While we take every precaution, we strongly recommend clients maintain their own backups.
7.3 Resource Usage
Hosting plans include defined storage and bandwidth limits. Excessive resource usage that impacts server performance may result in additional charges or account suspension with prior notice.
7.4 Prohibited Content
Hosted websites may not contain or distribute:
- Illegal content of any kind
- Malware, spyware, or malicious code
- Spam or unsolicited communications
- Content that infringes on intellectual property rights
- Content that violates any applicable laws or regulations
Violation of these rules may result in immediate suspension without refund.
8. Support
8.1 Support Channels
Support is provided through the client portal ticketing system at portal.verasitestudio.com.
8.2 Response Times

Response times apply during business hours (Monday-Friday, 9:00 AM - 6:00 PM EST).
8.3 Maintenance Coverage
Monthly maintenance plans include:
- Security updates and patches
- CMS and plugin updates
- Minor content updates (up to 2 hours per month)
- Performance monitoring
- Technical support via ticket system
Work exceeding the included hours will be quoted separately.
9. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the project. This includes business processes, pricing, technical details, and client data. This obligation survives termination of the agreement.
10. Data Protection
We handle all personal data in accordance with our Privacy Policy and applicable data protection laws including the General Data Protection Regulation (GDPR). By using our services, you consent to our data practices as described in our Privacy Policy.
11. Limitation of Liability
To the maximum extent permitted by applicable law:
- Verasite Studio's total liability shall not exceed the total fees paid by the client in the 3 months preceding the claim
- We are not liable for indirect, incidental, special, consequential, or punitive damages
- We are not liable for losses resulting from circumstances beyond our control (force majeure)
- We are not liable for third-party service outages (hosting providers, payment processors, etc.)
12. Indemnification
You agree to indemnify and hold harmless Verasite Studio and its team members from any claims, damages, losses, or expenses (including legal fees) arising from:
- Your use of our services
- Your violation of these Terms
- Content you provide that infringes on any third-party rights
- Your violation of any applicable laws or regulations
13. Termination
13.1 By Client
You may terminate ongoing services with 30 days written notice sent to hello@verasitestudio.com. Outstanding balances remain due upon termination.
13.2 By Verasite Studio
We may terminate services immediately if:
- Payment remains outstanding for more than 30 days
- You violate these Terms
- You engage in abusive behavior toward our team
- You use our services for illegal purposes
13.3 Effect of Termination
Upon termination, we will provide a final invoice for any outstanding work. We will provide the client with their website files and data within 14 days of termination, provided all outstanding balances are settled.
14. Dispute Resolution
In the event of a dispute, both parties agree to first attempt resolution through good faith negotiation. If a resolution cannot be reached within 30 days, disputes shall be resolved through binding arbitration in accordance with the laws of the State of Maryland, USA.
15. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Maryland, United States of America, without regard to its conflict of law provisions.
Clients based in the European Union or Germany may also have additional rights under applicable EU consumer protection laws, which are not affected by these Terms.
16. Changes to These Terms
We reserve the right to update these Terms at any time. We will notify existing clients of significant changes via email at least 14 days before the changes take effect. Continued use of our services after that date constitutes acceptance of the updated Terms.
17. Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
18. Entire Agreement
These Terms, together with any signed Project Agreement or Service Order, constitute the entire agreement between you and Verasite Studio regarding our services and supersede any prior agreements.
